These Terms of Service ("Terms") govern your access to and use of scentandstock.com (the "Site") and any purchases you make from us. The Site is operated by Milton Elms Industries Corp., doing business as Scent and Stock ("we," "us," or "our").

By visiting the Site or placing an order, you agree to be bound by these Terms. Please read them carefully. If you do not agree, do not use the Site.

1. Eligibility

By using the Site, you represent that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and are not prohibited from purchasing fragrance products under applicable law.

2. Products and Authenticity

Every fragrance sold on Scent and Stock is 100% authentic. We source exclusively from authorized distributors and licensed suppliers. We do not sell counterfeit, grey market, expired, or tampered products.

Product descriptions, images, and scent notes are provided for informational purposes. Minor variations in packaging, bottle design, or formulation may occur between production batches at the discretion of the original manufacturer. These variations do not constitute a defect or misrepresentation.

Tester units are authentic fragrances sourced from authorized distributors. They may arrive without a retail box, cap, or cellophane wrap. The fragrance itself is identical to the retail version.

3. Pricing and Payment

All prices are listed in US dollars (USD) and are subject to change without notice. We reserve the right to correct pricing errors at any time, including after an order has been placed. If a pricing error affects your order, we will contact you before processing.

We accept all major credit cards, debit cards, and any additional payment methods displayed at checkout. Payment is collected at the time of purchase. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge the full order amount.

Sales tax will be applied to orders where required by applicable law. The applicable tax rate is determined by your shipping address.

4. Orders and Cancellations

Placing an order constitutes an offer to purchase. We reserve the right to accept or decline any order at our discretion, including orders that appear fraudulent, exceed reasonable purchase quantities, or cannot be fulfilled due to stock availability.

Order confirmation emails are sent automatically and do not guarantee fulfillment. We will notify you promptly if an item in your order is unavailable.

Once an order has been shipped, it cannot be cancelled. If you need to modify an order, contact us immediately at hello@scentandstock.com and we will do our best to assist before shipment.

5. Shipping

We ship to addresses within the United States. Orders are typically processed within 1-2 business days and shipped via USPS, UPS, or FedEx. Estimated delivery times are provided at checkout but are not guaranteed.

Free shipping is available on qualifying orders over $75 as displayed on the Site. Shipping thresholds and rates are subject to change.

We are not responsible for delays caused by carriers, weather events, customs, or circumstances beyond our control. Risk of loss and title for products pass to you upon delivery to the carrier.

Fragrance products may be subject to shipping restrictions due to flammability classifications. Certain expedited shipping options may not be available for all products. We comply with all applicable carrier regulations for fragrance shipping.

6. Returns and Refunds

We offer a 30-day return policy from the date of delivery. To be eligible for a return, items must be unused, unopened, and in their original condition. Opened or used fragrances cannot be returned for hygiene and safety reasons unless the product is defective or was received damaged.

To initiate a return, contact us at hello@scentandstock.com with your order number and reason for return. We will provide return instructions within 2 business days.

Refunds are issued to the original payment method within 5-10 business days of receiving and inspecting the returned item. Original shipping charges are non-refundable unless the return is due to our error.

We are not responsible for return shipping costs unless the item was received damaged, defective, or incorrectly sent.

7. Damaged or Incorrect Orders

If your order arrives damaged, defective, or incorrect, contact us within 7 days of delivery at hello@scentandstock.com with your order number and photos of the issue. We will arrange a replacement or full refund at no cost to you.

8. Intellectual Property

All content on the Site, including text, images, graphics, logos, product descriptions, and design elements, is the property of Milton Elms Industries Corp. or its content suppliers and is protected by applicable copyright, trademark, and intellectual property laws.

Brand names, fragrance names, and trademarks referenced on the Site belong to their respective owners. Their use on the Site is for identification and descriptive purposes only and does not imply any affiliation with or endorsement by those brands.

You may not reproduce, distribute, modify, or create derivative works from any content on the Site without our prior written permission.

9. Prohibited Uses

You agree not to use the Site to:

Violate any applicable law or regulation
Transmit any harmful, fraudulent, or misleading information
Attempt to gain unauthorized access to any part of the Site
Scrape, crawl, or extract data from the Site without permission
Place fraudulent orders or provide false information
Resell products purchased from the Site for commercial purposes without our prior written consent
Interfere with the proper functioning of the Site

We reserve the right to terminate access to the Site for any user who violates these Terms.

10. Disclaimer of Warranties

The Site and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of any content on the Site.

11. Limitation of Liability

To the fullest extent permitted by law, Milton Elms Industries Corp. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or purchase of products, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of or related to these Terms or your use of the Site shall not exceed the amount you paid for the order giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Milton Elms Industries Corp. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of your use of the Site, your violation of these Terms, or your violation of any third-party rights.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in New York.

You agree to attempt to resolve any dispute informally by contacting us at hello@scentandstock.com before initiating any formal legal proceeding. We will make reasonable efforts to resolve disputes amicably within 30 days of notice.

14. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with a revised "Last Updated" date. Your continued use of the Site after any changes constitutes your acceptance of the updated Terms.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other policies posted on the Site, constitute the entire agreement between you and Milton Elms Industries Corp. with respect to your use of the Site and supersede all prior agreements and understandings.
